This Client Services Agreement ("Agreement") is between Site Renovation Co LLC, a Utah limited liability company ("Site Renovation Co," "we," "us," or "our"), and the client identified above ("Client," "you," or "your"). The Agreement, together with the approved quote/order form and any written change orders, governs the website renovation, hosting, maintenance, and related services described below.
1. Standard Project Scope
Unless the approved quote states otherwise, the standard $750 setup package covers renovation and launch of a small-business website of up to five core pages. The project is intended for ordinary brochure/lead-generation websites rather than custom software products.
The standard setup includes responsive implementation, ordinary content/layout work, one basic contact/lead form, basic on-page SEO setup, reasonable accessibility and web-development best practices, and up to two pre-launch revision rounds.
- Basic on-page SEO may include page titles, meta descriptions, heading structure, sitemap/robots configuration, and sensible image alt text. Rankings, traffic, sales, leads, or conversion outcomes are not guaranteed.
- One basic lead form may deliver submissions to one designated email address for normal small-business traffic.
- The Client supplies core business facts, content, logo, and primary visual assets. Site Renovation Co may lightly edit or restructure supplied copy and may source a limited amount of properly licensed stock imagery when reasonably needed.
2. Excluded or Separately Quoted Work
Anything outside the approved scope requires a separate quote or written change order before work begins. The following are not included in the standard $750 setup / $149 monthly tier unless expressly stated in writing:
- New pages beyond the agreed page count; full copywriting from scratch; full logo/brand identity design; premium stock assets, custom photography, or custom illustration.
- E-commerce, online product sales, subscriptions, customer payment collection, custom checkout/payment flows, custom applications, or other app-like functionality.
- Building, customizing, or deeply integrating booking/appointment systems, CRMs, external APIs, or other complex third-party services. Simple links to an existing scheduler may be included when straightforward.
- CMS/admin dashboards, client self-editing systems, CMS-powered blogs/news publishing, multilingual sites, heavy custom animation, 3D, interactive storytelling, live social feeds, social automation, or social-media management.
- Bulk content uploads, unusually large media libraries, general-purpose file storage, heavy video hosting, or unusually high bandwidth/storage/compute needs.
- Analytics setup/reporting on the standard tier, ongoing SEO campaigns, backlink work, ongoing content strategy, or marketing campaign management.
3. Project Schedule, Client Cooperation, and Delays
The standard target is approximately two to three weeks after Site Renovation Co receives the content, access, assets, approvals, and information reasonably needed to perform the work. This is a target, not a guaranteed completion date.
If the Client fails to provide required materials, access, feedback, or approvals, or is otherwise unresponsive for 14 days, the project timeline pauses until the Client re-engages. If the Client remains completely unresponsive for 60 days, Site Renovation Co may treat the project as abandoned and close it out. Any restart is subject to then-current availability and scheduling.
If delay is caused by Site Renovation Co, recurring monthly billing does not begin until the website is live, except as otherwise stated in Section 7 for Client-caused launch delays.
4. Revisions and Approval
The standard setup includes two pre-launch revision rounds. A revision round means one consolidated set of reasonable changes within the agreed scope. Additional revisions or scope changes may be separately quoted.
Major approvals, including design approval, launch approval, scope changes, and extra paid work, must be confirmed in writing by email or the designated support channel.
When the Client gives written final approval, the project is accepted for launch. Changes requested after final approval are handled under the monthly plan allowance or quoted separately.
5. Client Content, Accuracy, and Rights
The Client is responsible for reviewing and approving all final business information before launch, including prices, services, phone numbers, addresses, claims, testimonials, and other factual content.
The Client represents that it has the legal right to use all logos, photographs, trademarks, copy, testimonials, data, and other materials it supplies or directs Site Renovation Co to use. The Client is responsible for claims arising from Client-supplied or Client-directed materials, statements, or instructions, including copyright, trademark, false advertising, privacy, and similar claims, and shall indemnify Site Renovation Co to the extent permitted by law.
6. Setup Fee and Refund Policy
The standard setup fee is $750 unless a different written quote applies. The setup fee reserves production capacity and covers onboarding, planning, design/development, and launch preparation.
Setup fees and other payments are generally non-refundable once charged, except where required by law, where Site Renovation Co materially fails to provide the agreed service, or where Site Renovation Co chooses in its discretion to refund a setup fee before onboarding/design work has actually begun. A discretionary refund does not create a right to future refunds.
If Site Renovation Co materially cannot complete the agreed project and terminates the engagement itself, Site Renovation Co will refund the unearned portion of fees attributable to work or services not provided.
7. Monthly Billing, Initial Term, and Service Commencement
The monthly managed care fee is $149.00 for an initial 12-month term. The rate is locked during the initial term. Automatic recurring billing will be handled through Stripe using an authorized payment method, including card and/or ACH where supported.
Monthly billing normally begins when the website goes live. If the Client has given written final approval but delays launch for more than 14 days for reasons on the Client side, including failure to provide domain/DNS access or a voluntary hold, Site Renovation Co may establish a deemed service commencement date and begin the 12-month monthly term even though the site is not yet publicly live.
During the initial term, $100 of each $149 monthly payment is allocated to website acquisition and $49 to managed service. This allocation is used to calculate early buyouts and does not change the total monthly price.
8. Early Exit / Website Buyout
The initial term is a 12-month commitment. If the Client wants to exit early, the Client may pay the remaining website acquisition balance, calculated as $100 multiplied by the number of months remaining in the initial 12-month term.
After the remaining acquisition balance and all other currently due amounts are paid, ownership transfers under Section 14 and future $49 service portions for months not received are not charged. Managed service then ends subject to the handoff provisions below.
9. Failed Payments, Grace Period, and Nonpayment
Stripe may automatically retry failed recurring charges. A failed monthly payment receives a 7-day grace period. If the payment remains unpaid after the grace period, Site Renovation Co may suspend hosting, maintenance, support, ongoing work, and other managed services without a separate late fee.
If the payment remains uncured for 30 days, Site Renovation Co may terminate the service and the remaining website acquisition balance becomes due, calculated as $100 multiplied by the number of months remaining in the initial 12-month term.
If the Client initiates a chargeback or payment dispute, Site Renovation Co may pause service while the dispute is reviewed. No separate chargeback penalty is imposed, but amounts ultimately determined to be valid and unpaid remain due.
10. Managed Care Services
While the $149 plan is active, Site Renovation Co provides managed hosting, SSL, reasonable uptime/form monitoring, reasonable dependency/security maintenance, backup/version-history protection, routine planned maintenance, and up to two small content-change requests per month.
Each included content-change request is limited to approximately 30 minutes of work. Unused requests do not roll over. Normal small text/image swaps may qualify if they fit within this limit. New pages, bulk uploads, or larger work are separately quoted.
Site Renovation Co may occasionally offer additional complimentary work or improvements when production capacity allows. Bonus work is discretionary, does not roll over, and does not increase the Client’s guaranteed monthly entitlement.
Included small requests have a target turnaround of up to three business days, subject to scope, Client responsiveness, and third-party dependencies. Normal support requests have a target response time of up to two business days.
11. Support Channels and Business Days
Official support/change requests must be submitted by email or the designated support form. Phone calls and text messages may be used for general communication, but a change request or material approval is not official until confirmed in writing.
Standard business/support days are Monday through Friday, excluding U.S. federal holidays and other company closures announced in advance. The $149 plan does not include guaranteed emergency or after-hours support or unlimited meetings/calls. Reasonable calls may be scheduled when needed.
Rush work that needs to bypass the normal queue or be completed on an accelerated timeline may be separately quoted and is available only when capacity permits.
12. Hosting, Traffic, Backups, and Maintenance
During the initial 12-month term, the website is hosted under Site Renovation Co’s managed infrastructure/account. The standard plan is intended for normal small-business usage and does not advertise or guarantee a fixed visitor cap or specific uptime service level.
Unusually high bandwidth, storage, form volume, compute, or infrastructure consumption may require an upgraded/custom plan or reimbursement of incremental infrastructure costs after notice. The managed website may not be used as general-purpose storage for unusually large videos, archives, or unrelated files.
Backups and version history are provided on a reasonable, best-effort basis and are subject to the retention and capabilities of the hosting/platform. Site Renovation Co does not guarantee that every deleted or lost item can be restored.
Site Renovation Co may perform reasonable planned maintenance that temporarily affects availability and should provide notice when noticeable downtime is expected. Planned maintenance is not a service breach.
13. Domain, Email, and Third-Party Services
The Client owns and remains responsible for its domain at all times, including renewal fees and keeping the registration active. The Client must grant Site Renovation Co the DNS/domain access reasonably needed to connect, maintain, and support the site while under managed care.
Business email hosting is not included unless expressly quoted. Site Renovation Co may connect website forms to the Client’s existing email and assist with related DNS records, but Google Workspace, Microsoft 365, or similar mailbox services are separate Client costs unless expressly included.
Third-party software, services, APIs, plugins, premium fonts/assets, booking tools, CRM products, or other external products are separate costs unless expressly included in writing. Site Renovation Co will reasonably assist with troubleshooting but does not guarantee third-party availability, uptime, security, or performance.
14. Website Ownership and Intellectual Property
During the initial 12-month term, the Client receives a limited right to use the managed website while payments remain current. Ownership of the completed Client-specific website transfers after all required first-year payments are completed or an early buyout is fully paid.
After transfer, the Client receives the production-ready website source code and Client-specific assets/content necessary to operate the finished website, plus reasonable transfer assistance. Site Renovation Co retains ownership of reusable templates, internal components, libraries, frameworks, boilerplate systems, production methods, and internal tooling, and the Client does not receive ownership of or a general right to reuse those systems for unrelated websites.
Nothing in this section prevents the Client from operating and maintaining its completed website after ownership transfer.
15. Post-Term Renewal, Cancellation, and Handoff
After the initial 12-month term, the $149 care plan automatically continues month-to-month with no new fixed-term commitment unless both parties expressly agree otherwise. The Client may cancel any time before the next renewal date; no 30-day cancellation notice is required.
The $149 rate is guaranteed only for the initial 12-month term. After that term, Site Renovation Co may change the month-to-month care price with at least 30 days’ written notice.
After cancellation following ownership transfer, Site Renovation Co provides a 30-day handoff window for reasonable transfer assistance, such as exporting code, pointing DNS, and basic deployment guidance. Full migration, rebuild, or adaptation to a significantly different host/platform may be separately quoted.
After the 30-day handoff window, Site Renovation Co has no ongoing obligation to host, edit, maintain, monitor, support, or fix the website unless new services are purchased. Site Renovation Co may retain project files/backups for an additional 30 days after the handoff window and may then delete them, except records retained for legal, tax, accounting, billing, dispute, or compliance purposes.
16. Security, Access, and Client/Third-Party Changes
The Client must provide the access reasonably necessary to perform the services. The parties should use secure invitation/delegation methods rather than sharing passwords where practical.
Site Renovation Co provides reasonable dependency/security maintenance but does not guarantee that any website will be completely secure. Site Renovation Co is not responsible for security incidents caused by third-party services, compromised Client credentials, Client actions, or events outside its reasonable control.
If the Client or a third-party developer/contractor not affiliated with Site Renovation Co modifies code, DNS, hosting, integrations, plugins, or related systems and causes an issue, repair work is not automatically included and may be separately quoted.
17. Client Data and Privacy
The Client owns leads and customer data collected through the Client website. Site Renovation Co may access or process that data only as reasonably necessary to provide, maintain, and support the contracted services.
Site Renovation Co may provide basic privacy-policy or cookie-consent implementation only when expressly included in scope. Site Renovation Co is not the Client’s legal counsel and does not guarantee compliance with ADA, WCAG, healthcare, financial, advertising, privacy, or other industry-specific legal/regulatory requirements unless such work is specifically scoped and quoted.
18. Browser and Device Support
Site Renovation Co targets current mainstream versions of Chrome, Safari, Edge, and Firefox and normal modern mobile devices. Compatibility with obsolete browsers, unsupported operating systems, or every possible device configuration is not guaranteed.
19. Portfolio, Testimonials, and Publicity
Site Renovation Co may showcase completed Client work in its portfolio, case studies, and marketing unless the Client opts out in writing. Site Renovation Co will notify the Client before using the work publicly for those purposes.
Site Renovation Co may ask the Client for a testimonial or review after launch but will not materially alter the Client’s words in a misleading way or publish a testimonial without the Client’s approval.
20. No Guaranteed Results
Site Renovation Co may describe design, speed, usability, SEO setup, accessibility practices, or conversion-focused improvements, but does not guarantee specific sales, lead volume, conversion rates, search-engine rankings, revenue, or other business outcomes.
21. Right to Refuse or Terminate Certain Work
Site Renovation Co may refuse or terminate work involving illegal content, scams, deceptive claims, malware, harassment, or other activity that creates serious legal, security, or reputational risk. Rights and payment consequences under any such termination remain subject to applicable law and the circumstances of the termination.
22. Confidentiality
Each party will keep confidential the other party’s non-public business information, credentials, unpublished materials, internal systems, proprietary methods, and other confidential information obtained through the engagement, except where disclosure is reasonably necessary to perform the services, is authorized by the disclosing party, or is required by law.
23. Taxes
Quoted and advertised prices are exclusive of legally applicable sales, use, or similar taxes unless expressly stated otherwise. Required taxes may be added to checkout or invoices.
24. Limitation of Liability
To the fullest extent permitted by law, Site Renovation Co’s aggregate liability arising out of or relating to this Agreement will not exceed the total amount the Client paid to Site Renovation Co during the 12 months preceding the event giving rise to the claim.
To the fullest extent permitted by law, Site Renovation Co will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost goodwill, or similar losses.
25. Force Majeure
Neither party is treated as in breach for delay or nonperformance caused by events reasonably outside that party’s control, including major infrastructure outages, natural disasters, government actions, widespread internet failures, labor disruptions, or similar events, for the duration and effect of the event.
26. Disputes and Governing Law
The parties will first attempt in good faith to resolve disputes informally. If a dispute cannot be resolved, it may be brought in an appropriate Utah court with jurisdiction. This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law principles to the extent applicable.
27. Assignment
The Client may not assign or transfer this Agreement to another person or business without Site Renovation Co’s written approval. Site Renovation Co may assign this Agreement in connection with a sale, merger, reorganization, or transfer to a successor business.
28. Notices
Official notices under this Agreement, including cancellation, price changes, disputes, ownership transfer, and termination, may be delivered by email to the address each party has on file. Each party is responsible for keeping its contact information current.
29. Electronic Acceptance
This Agreement and related approvals may be accepted electronically, including by e-signature, signed PDF, or online checkbox/checkout acceptance where the material terms are clearly presented before acceptance. Electronic copies may be treated as originals to the extent permitted by law.
30. Entire Agreement; Amendments; Severability
This Agreement, together with the approved quote/order form and written change orders, is the entire agreement between the parties concerning the services and supersedes prior verbal or written understandings on the same subject. Verbal statements or side promises do not modify the Agreement unless confirmed in writing by both parties.
If any provision is found invalid or unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
Acceptance and Signatures
By signing or electronically accepting below, the Client acknowledges that it has read and agrees to the pricing, recurring billing, initial 12-month term, early buyout, ownership-transfer, cancellation, and other terms in this Agreement.
