TERMS OF SERVICE
Site Renovation Co LLC
General Service Terms
Effective Date:
IMPORTANT DOCUMENT HIERARCHY
These Terms are general service terms. The public website is governed separately by the Terms of Use. For a client engagement covered by a signed or electronically accepted Client Services Agreement, approved order form, or written change order, those documents control. The standard Cancellation, Refund & Subscription Policy is a summary and does not override a client-specific agreement.
These Terms of Service ("Terms") describe the general conditions under which Site Renovation Co LLC, a Utah limited liability company ("Site Renovation Co," "we," "us," or "our"), may provide website design, development, hosting, maintenance, digital consulting, and related services to a customer or client ("Client," "you," or "your").
These Terms apply only to the extent they are referenced by, incorporated into, or otherwise presented as part of an applicable quote, order form, checkout, proposal, or service engagement. They do not independently create a client relationship merely because you visit siterenovationco.com or submit an inquiry.
1. Relationship to Other Site Renovation Co Documents
Website access and use. Access to siterenovationco.com, public materials, forms, and website content is governed by the Site Renovation Co Terms of Use.
Privacy. Collection, use, sharing, retention, and protection of personal information is governed by the Site Renovation Co Privacy Policy.
Standard plan policy. The Cancellation, Refund & Subscription Policy summarizes the standard website-renovation plan. A signed Client Services Agreement and approved order form control if specific client terms differ.
Client Services Agreement. If a signed or electronically accepted Client Services Agreement applies to an engagement, that agreement, together with its approved quote/order form and written change orders, governs the engagement. To the extent that agreement states it is the entire agreement concerning the services, these Terms do not add to or modify it unless the Client Services Agreement, order form, or later written amendment expressly incorporates these Terms.
2. Services and Scope
Site Renovation Co may provide website design, renovation, development, hosting, maintenance, support, digital consulting, optimization, integrations, and related digital services. The exact scope, deliverables, pricing, schedule, service level, and recurring obligations for an engagement are determined by the applicable quote, order form, proposal, checkout, Client Services Agreement, or written change order.
Work outside the approved scope may require a separate quote or written change order before work begins. Examples can include additional pages, extensive copywriting, branding, e-commerce, custom applications, advanced integrations, bulk content work, premium assets, unusually high infrastructure usage, ongoing SEO campaigns, or other work not expressly included.
3. Quotes, Changes, and Approvals
Quotes and proposals apply only to the work described in them and may be subject to expiration or revised availability. Material scope changes, additional paid work, design approval, launch approval, and other material approvals should be confirmed in writing through email, an approved support channel, an order form, or another written record.
Additional work may affect pricing and delivery timing. Site Renovation Co is not required to begin out-of-scope work until the parties agree on the applicable terms.
4. Client Responsibilities
The Client is responsible for providing accurate business information and the content, assets, access, approvals, credentials, domain or DNS access, and other materials reasonably necessary to perform the services. The Client is responsible for reviewing final business information before launch, including prices, services, contact information, claims, testimonials, and other factual content.
The Client represents that it has the legal right to use all logos, photographs, trademarks, copy, testimonials, data, and other materials it supplies or directs Site Renovation Co to use. To the extent permitted by law, the Client is responsible for claims arising from Client-supplied or Client-directed materials, statements, or instructions, including copyright, trademark, false advertising, privacy, and similar claims, and will indemnify Site Renovation Co for such claims to the extent stated in the applicable client agreement.
5. Project Timing, Cooperation, and Delays
Any schedule or completion date is a target unless expressly stated in writing as guaranteed. Delays in receiving content, access, feedback, approvals, or other required materials may pause or extend the project schedule. Site Renovation Co is not responsible for delay caused by Client inaction, third-party providers, or circumstances outside its reasonable control.
Where an applicable client agreement includes specific rules for client-caused launch delays, abandonment, deemed service commencement, or recurring-billing commencement, those specific rules control.
6. Fees, Payment, and Taxes
Fees and payment schedules are disclosed through the applicable quote, order form, checkout, invoice, or client agreement. Payments may be processed through Stripe or another disclosed payment processor using an authorized payment method, including card or ACH where supported.
Quoted and advertised prices are exclusive of legally applicable sales, use, or similar taxes unless expressly stated otherwise. Required taxes may be added to checkout or invoices.
Recurring services may be billed automatically where the Client has authorized recurring charges. The applicable price, initial commitment, renewal structure, cancellation terms, and any acquisition or buyout obligations are determined by the applicable client agreement or order form.
7. Cancellation, Refunds, and Payment Disputes
Cancellation, refund, early-exit, ownership-transfer, failed-payment, grace-period, and chargeback rules are governed by the applicable client agreement, order form, and the Cancellation, Refund & Subscription Policy where applicable. The more specific client agreement controls if terms differ.
Unless a different written agreement applies, payments are generally non-refundable once charged, subject to applicable law and any written refund commitment. Site Renovation Co may suspend work or managed services while a payment dispute or unresolved nonpayment is reviewed where permitted by the applicable agreement.
Billing or cancellation requests may be directed to billing@siterenovationco.com.
8. Hosting, Maintenance, Backups, and Support
If managed hosting or maintenance is included, Site Renovation Co may provide hosting, SSL, reasonable uptime or form monitoring, dependency and security maintenance, backups or version-history protection, and support as described in the applicable service agreement.
Unless a separate written service-level agreement states otherwise, Site Renovation Co does not guarantee a fixed visitor capacity, uninterrupted availability, a specific uptime percentage, or restoration of every deleted or lost item. Planned maintenance, hosting-provider issues, internet failures, security events, and other external conditions may temporarily affect availability.
Unusually high bandwidth, storage, form volume, compute use, or infrastructure consumption may require a custom plan or reimbursement of incremental infrastructure costs after notice where allowed by the applicable agreement.
9. Domains, Email, and Third-Party Services
Unless expressly agreed otherwise, the Client owns and remains responsible for its domain registration and renewal. Business email hosting, third-party software, APIs, plugins, premium assets, booking systems, CRM products, and similar external services are separate Client costs unless expressly included in writing.
Site Renovation Co may assist with third-party services but does not control or guarantee their availability, uptime, security, pricing, features, or performance. Third-party providers may apply their own terms and privacy policies.
10. Website Ownership and Intellectual Property
Ownership of a Client website and the timing of any ownership transfer are governed by the applicable client agreement or order form. Under the standard Website Renovation + Managed Care Plan, ownership of the completed Client-specific website transfers after the required first-year payments are completed or an applicable early buyout is fully paid.
After an applicable ownership transfer, the Client receives the production-ready website source code and Client-specific assets or content reasonably necessary to operate the finished website, together with any transfer assistance required by the applicable agreement.
Site Renovation Co retains ownership of its reusable templates, internal components, frameworks, libraries, boilerplate systems, production methods, workflows, development systems, know-how, and internal tooling. A Client does not acquire a general right to reuse those broader systems for unrelated websites merely because they were used in the Client project.
11. Client Data and Privacy
Unless otherwise agreed, the Client owns leads and customer data collected through the Client website. Site Renovation Co may access or process that information only as reasonably necessary to provide, maintain, secure, troubleshoot, and support the contracted services.
Site Renovation Co handles personal information in accordance with its Privacy Policy. Clients remain responsible for their own legal obligations relating to information they collect from their visitors, including applicable privacy notices, consent requirements, and industry-specific regulations.
12. Security and Access
The parties should use secure invitation or delegation methods instead of sharing passwords where practical. Site Renovation Co uses reasonable administrative, technical, and organizational safeguards and may provide reasonable dependency or security maintenance, but no website, transmission method, storage system, hosting environment, or online service can be guaranteed to be completely secure.
Site Renovation Co is not responsible for security incidents caused by third-party services, compromised Client credentials, Client actions, unauthorized third-party changes, or events outside its reasonable control. Repair work caused by Client or unaffiliated third-party modifications may be separately quoted.
13. Accessibility, Compliance, and No Legal Advice
Site Renovation Co may use reasonable modern web-development, accessibility, performance, and SEO practices. Unless specialized compliance work is specifically scoped and quoted, Site Renovation Co does not represent or guarantee that a website or service automatically satisfies every ADA, WCAG, healthcare, financial, advertising, privacy, industry-specific, or jurisdiction-specific legal or regulatory requirement.
Site Renovation Co is not the Client's legal, tax, or regulatory counsel. Clients should obtain qualified professional advice for requirements specific to their business or industry.
14. No Guaranteed Business Results
Site Renovation Co does not guarantee specific sales, revenue, lead volume, conversion rates, traffic, search-engine rankings, customer acquisition, profitability, or other business outcomes. Results depend on many factors outside Site Renovation Co's control.
15. Portfolio, Testimonials, and Publicity
Unless the applicable client agreement provides otherwise, Site Renovation Co may showcase completed Client work in its portfolio, case studies, and marketing unless the Client opts out in writing. Site Renovation Co will notify the Client before using completed work publicly for those purposes. Testimonials will not be materially altered in a misleading way or published without the Client's approval.
16. Confidentiality
Each party will keep confidential the other party's non-public business information, credentials, unpublished materials, internal systems, proprietary methods, and other confidential information obtained through the engagement, except where disclosure is reasonably necessary to perform the services, is authorized by the disclosing party, or is required by law.
17. Right to Refuse, Suspend, or Terminate Certain Work
Site Renovation Co may refuse, suspend, or terminate work involving illegal content, scams, deceptive claims, malware, harassment, material security risk, material nonpayment, or other activity that creates serious legal, security, or reputational risk, subject to applicable law and the applicable client agreement.
Any payment, refund, ownership, handoff, or continuing-service consequences of suspension or termination are determined by the applicable client agreement and the circumstances of the termination.
18. Disclaimer of Additional Warranties
Except for obligations expressly stated in an applicable written client agreement, quote, order form, or written warranty, and to the fullest extent permitted by law, services are provided without additional warranties. Nothing in these Terms eliminates rights or warranties that cannot legally be waived.
19. Limitation of Liability
To the fullest extent permitted by law, Site Renovation Co's aggregate liability arising out of or relating to an applicable service engagement will not exceed the total amount the Client paid to Site Renovation Co during the 12 months preceding the event giving rise to the claim.
To the fullest extent permitted by law, Site Renovation Co will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost business opportunities, lost goodwill, or similar losses.
20. Force Majeure
Neither party is treated as in breach for delay or nonperformance caused by events reasonably outside that party's control, including major infrastructure outages, natural disasters, government actions, widespread internet failures, labor disruptions, or similar events, for the duration and effect of the event.
21. Disputes and Governing Law
The parties should first attempt in good faith to resolve service disputes informally. If a dispute cannot be resolved, it may be brought in an appropriate Utah court with jurisdiction. These Terms and applicable service engagements are governed by the laws of the State of Utah, without regard to conflict-of-law principles to the extent applicable, except where applicable law requires otherwise.
22. Assignment
Unless a more specific agreement states otherwise, the Client may not assign or transfer an applicable service agreement to another person or business without Site Renovation Co's written approval. Site Renovation Co may assign an applicable service agreement in connection with a sale, merger, reorganization, or transfer to a successor business.
23. Notices and Electronic Acceptance
Official notices relating to a service engagement may be delivered by email to the address each party has on file. Each party is responsible for keeping its contact information current.
These Terms, related approvals, and applicable service documents may be accepted electronically, including by e-signature, signed PDF, or online checkbox or checkout acceptance where the material terms are clearly presented before acceptance. Electronic copies may be treated as originals to the extent permitted by law.
24. Changes to These Terms
Site Renovation Co may update these Terms prospectively as its services, technology, or business practices change. The effective date at the top identifies the current version. An update to these general Terms does not retroactively modify a signed or electronically accepted Client Services Agreement, order form, or other fixed client agreement unless the parties agree in writing or the applicable agreement expressly permits the change.
25. Severability and No Waiver
If a provision of these Terms is found invalid or unenforceable, it will be limited or severed to the minimum extent necessary and the remaining provisions will continue in effect. Failure to enforce a provision on one occasion does not waive the right to enforce it later.
